INTRODUCTION
     This Amendment No. 4 (this “Amendment”) amends and supplements the Tender Offer Statement on Schedule TO originally filed with the Securities and Exchange Commission (the “Commission”) on January 10, 2007, as amended and supplemented by Amendment No. 1 to the Tender Offer Statement on Schedule TO filed with the Commission on February 2, 2007, Amendment No. 2 to the Tender Offer Statement on Schedule TO filed with the Commission on February 7, 2007 and Amendment No. 3 to the Tender Offer Statement on Schedule TO filed with the Commission on February 15, 2007 (collectively, the “Schedule TO”) by The Scotts Miracle-Gro Company, an Ohio corporation (“SMG”), and relates to the offer by SMG to purchase for cash up to 4,504,504 of its common shares, without par value, or such lesser number of common shares as is validly tendered and not validly withdrawn, at a price of not less than $48.50 nor greater than $55.50 per share, without interest. SMG’s offer is being made upon the terms and subject to the conditions set forth in the Offer to Purchase dated January 10, 2007 (the “Offer to Purchase”), and in the related Letter of Transmittal, copies of which were previously filed as Exhibits (a)(1)(i) and (a)(1)(ii), respectively, to the Schedule TO (which together, as amended or supplemented from time to time, constitute the “Offer”).
     The information contained in the Offer is expressly incorporated by reference into this Amendment in response to all of the applicable items in the Schedule TO, except that such information is hereby amended and supplemented to the extent specifically provided herein. This Amendment No. 4 to Schedule TO is intended to satisfy the reporting requirements of Rule 13e-4(c)(4) of the Securities Exchange Act of 1934, as amended.

     On February 21, 2007, SMG issued a News Release announcing the final results of the Offer, which expired at 12:00 midnight, New York City time, on Wednesday, February 14, 2007. A copy of the News Release is filed as Exhibit (a)(5)(vii) to this Schedule TO and incorporated herein by reference.

ScottsMiracle-Gro Announces Final Results of its Modified “Dutch Auction” Tender Offer
MARYSVILLE, Ohio (February 21, 2007) — The Scotts Miracle-Gro Company (NYSE: SMG), the world’s leading marketer of branded consumer lawn and garden products, today announced the final results of its tender offer which expired at 12:00 midnight, New York City time, on February 14, 2007. In the tender offer, ScottsMiracle-Gro offered to purchase for cash up to 4,504,504 common shares in a price range of $48.50 to $55.50 per share.
The Company has accepted for purchase 4,504,504 common shares at a purchase price of $54.50 per share, for a total price of approximately $245.5 million, in accordance with the terms and conditions of the tender offer. A final count by National City Bank, the depositary for the tender offer, indicates that 4,811,939 common shares were validly tendered and not validly withdrawn at or below the purchase price, resulting in a pro-ration factor of approximately 93.6 percent.
The depositary will promptly commence payment for the shares purchased in the tender offer and will return all other common shares tendered and not accepted for purchase due to the pro-ration or conditional tender provisions of the tender offer .
The shares purchased in the tender offer represent approximately 7 percent of the Company’s outstanding shares. As a result of the completion of the tender offer, immediately following the purchase of the tendered shares, ScottsMiracle-Gro expects that approximately 63.4 million basic common shares will be issued and outstanding.
Banc of America Securities LLC was the dealer manager for the tender offer. D.F. King & Co., Inc. served as information agent.
